1. Agreement to these Terms
These Terms & Conditions ("Terms") govern your access to and use of the website at irystechnologies.ai (the "Site"), operated by Irys Technologies, Inc. ("Irys," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.
2. What the Site provides
The Site provides general information about Irys and our offering, lets you request a demo or a risk report, and publishes aggregated, statistical information derived from public records lawfully obtained from the California State Teachers' Retirement System ("CalSTRS") and/or other government agencies under the California Public Records Act. The content is provided for general informational and public-transparency purposes only.
The Site does not publish the names, identities, or individual records of any person. It presents totals, averages, distributions, and similar aggregate statistics.
3. No professional advice; informational use only
The content is not financial, legal, tax, investment, employment, actuarial, or other professional advice, and must not be relied upon as such. Always consult qualified professionals before making decisions about CalSTRS reporting or any other compliance matter. You are solely responsible for how you use the information, and decisions you make based on the Site are your own.
4. The risk-preview calculator
The risk-preview calculator produces estimates derived from public-record CalSTRS employer audit reports and the figures you enter. The estimates are illustrative only — they are not a prediction, an audit result, or a guarantee of any outcome, and your actual exposure may differ materially. Do not rely on the calculator for compliance, budgeting, or legal decisions.
5. Accuracy, sources, and "as-of" dating
We compile statistics from third-party government records and aim for accuracy, but we do not warrant that the content is complete, current, or error-free. Source data reflects what the originating agency provided and is accurate only as of the date indicated on the relevant page or dataset. Government records may contain errors, omissions, or later revisions that we may not reflect immediately.
6. No re-identification
You agree that you will not attempt to identify any individual from the aggregate statistics on the Site, nor combine, cross-reference, or supplement the data with any other source in an effort to identify, contact, profile, or infer information about any person. Any such attempt is a material breach of these Terms and may violate law.
7. Acceptable use
You agree not to:
- Use the Site or its data to harass, intimidate, threaten, stalk, defame, or harm any person;
- Use the data for unlawful discrimination, or for any unlawful or unauthorized purpose;
- Submit false information, or other people's information without authorization;
- Scrape, harvest, spider, bulk-download, or systematically extract content except as expressly permitted in writing;
- Interfere with, disrupt, probe, overload, or attempt to gain unauthorized access to the Site, its forms, its servers, or related systems, including via automated submissions;
- Introduce malware or otherwise compromise the security or integrity of the Site;
- Misrepresent the data, including presenting aggregate statistics as if they pertained to a specific individual; or
- Remove, obscure, or alter any notices, attributions, or disclaimers.
8. Intellectual property
The Site's compilation, organization, aggregation, presentation, design, text, graphics, and software (collectively, the "Materials") are owned by Irys or its licensors and are protected by intellectual-property laws. The underlying public records are not owned by Irys. Subject to these Terms, you may view and make limited personal, non-commercial use of the Materials. You may not reproduce, distribute, sell, sublicense, or create derivative works from the Materials without our prior written permission, except as permitted by law.
9. Removal, correction, and safety requests
Although the Site publishes only non-identifiable aggregate statistics, we maintain a process for concerns:
- To request review, correction, or suppression of any statistic you believe could identify a person, is inaccurate, or raises a safety concern — including requests from judges, law-enforcement personnel, domestic-violence survivors, or participants in California's Safe at Home program — contact us at admin@irystechnologies.ai with sufficient detail to locate the data.
- We will review timely requests and, where appropriate, suppress, further aggregate, correct, or remove the relevant content. We may decline requests that are unfounded, but we will explain our reasoning where practical.
10. Third-party links
The Site may link to third-party websites or resources. We do not control and are not responsible for their content, accuracy, or practices. Links do not imply endorsement.
11. Disclaimer of warranties
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRYS AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR ITS CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED US $100.
13. Indemnification
You agree to indemnify and hold harmless Irys and its officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any law or third-party right.
14. Copyright / DMCA
If you believe content on the Site infringes your copyright, send a notice with the information required by the DMCA (17 U.S.C. § 512) to our designated agent at admin@irystechnologies.ai. We will respond to valid notices, including by removing infringing material where appropriate.
15. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The state and federal courts located in California will have exclusive jurisdiction over any dispute arising from or relating to the Site or these Terms.
16. Changes to the Site and these Terms
We may modify or discontinue the Site, or update these Terms, at any time. Changes are effective when posted with a new "Last updated" date. Your continued use after changes means you accept the updated Terms.
17. Miscellaneous
If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy, are the entire agreement between you and Irys regarding the Site.
